Dividend Payment to BOSQAR Shareholders Approved, Share Buyback to Continue

Zagreb, Croatia, August 25, 2026 – The General Assembly of BOSQAR d.d. (ZSE: BSQR), the holding company of Croatian investment group BOSQAR INVEST, adopted all resolutions included on the agenda of the General Assembly meeting held on Tuesday, August 25, 2026.

In accordance with the adopted resolution on the allocation of profit, BOSQAR shareholders will receive a dividend in the total amount of EUR 2,946,092.50, proportionate to the number of shares they hold, corresponding to EUR 0.17 per share.

Shareholders recorded as holders of BOSQAR shares (ticker: MRUL-R_B) in the depository of the Central Depository & Clearing Company Inc. (SKDD) as of August 28, 2026 (record date) will be entitled to receive the dividend. From August 27, 2026 (ex-date), BOSQAR shares will trade without entitlement to the aforementioned dividend.

The dividend payment is scheduled for September 3, 2026 (payment date).

Share Buyback in 2026

In addition to the dividend payment, BOSQAR will continue implementing its share buyback during 2026, as the Company previously announced.

In accordance with the published plan, BOSQAR intends to carry out share buybacks with a total value of approximately EUR 7.1 million during 2026.

Subject to the implementation of the planned share buyback in accordance with the published plan, BOSQAR will return approximately EUR 10 million to its shareholders through dividends and share buybacks during 2026. The Company will inform the public in a timely manner of any implementation of the share buyback and of all terms and conditions of any invitation to submit offers.
